「Non-monetary compensation and other compensation will consist of restricted stock to create a compensation structure aimed at sustainably increasing the Company’s medium- to long-term corporate value and, consequently, shareholder value. Restricted stock will be granted pursuant to a resolution of the Board of Directors adopted no later than the day on which 1 month has elapsed from the date on which the relevant director begins performing his or her duties, with the number of shares granted determined according to the director’s position. The restriction period will run from the payment date until the director ceases to hold office as a director of the Company, and the restrictions will be lifted subject to the director continuing to hold office for the period specified by the Company’s Board of Directors.」
Following the transition to a company with an Audit and Supervisory Committee, the Company incorporated restricted stock into director compensation and introduced a system designed to link compensation to improvements in medium- to long-term corporate and shareholder value.
