Meta Planet is positioned as one of the world's leading BTC holders, and a proposal has been presented to change its name to Super Planetary. Shareholder meeting approval is pending. A 5-year lock-up is also expected to be established.
Nasdaq-listed US company Super League Enterprise published a letter stating that it plans to proceed with the transaction with Meta Planet subject to approval at its 2026 annual shareholder meeting on the 16th. The transaction comprises an in-kind contribution of 2,100 BTC and $2.5 million in cash, and Super League is expected to hold approximately 95.7% of Meta Planet's issued common shares after completion of the transaction.
After completion of the transaction, Meta Planet is expected to be positioned as the world's third-largest BTC holder, and its name is expected to change to Super Planetary. Filing with Nasdaq and completion of regulatory procedures in Japan and the United States are conditions of the transaction and prerequisites for continued listing.
The letter explicitly states that a 5-year lock-up will be established, and the chairman and CEO, Edelman, emphasized the company's position as a long-term partner. It also acknowledged that, although debt had been eliminated and costs reduced by the time the transaction was announced, the market valuation had remained stagnant before and after the announcement.
Exercise of warrants and other measures are expected as additional funding options, and a policy of prioritizing an increase in BTC holdings was presented. Completion of the transaction requires shareholder and regulatory approval, and further developments will be closely watched.
