The U.S. Nasdaq-listed company that Metaplanet plans to acquire announced that it purchased 1 Bitcoin on 10 October. The purchase price was approximately $83,041, and the company is considering using it alongside cash and other assets as part of its future asset management.
Metaplanet disclosed in an extraordinary report that Super League Enterprise (スーパー・リーグ・エンタープライズ), the U.S. Nasdaq-listed company it plans to acquire, had purchased Bitcoin for the first time. The purchase date was 10 October, the amount acquired was 1 BTC, and the purchase price was approximately $83,041.40.
Under the investment plan, Metaplanet is scheduled to contribute 2100 BTC and $2.5 million in cash through its U.S. subsidiary, and will hold approximately 95.7% of the company's shares after completion of the transaction, making it a consolidated subsidiary. The company is expected to be renamed Superplanet after the acquisition.
The contribution of 2100 BTC consists of transferring Bitcoin already held by Metaplanet within the group, rather than making new purchases in the market. Metaplanet is also considering issuing and publicly offering perpetual preferred shares, potentially raising funds from investors to purchase additional Bitcoin.
A shareholder vote is scheduled for 16 October, and completion of the transaction is expected in the October-December 2026 quarter. However, conditions including shareholder approval must be satisfied.
