クラッド大分 operates a 198-seat contact center and has 167 employees. For the fiscal year ended December 2025, revenue was ¥466 million and operating profit was ¥6 million. While revenue has remained at a certain scale, profit has been declining in recent years, with adjusted operating profit amounting to ¥45 million for the fiscal year ended December 2025.
The transaction was valued at approximately 4.4x adjusted operating profit, substantially different from the 33x multiple based on ordinary operating profit. An independent valuation institution published an equity value of ¥189 million to ¥227 million, placing the ¥200 million consideration within that range.
The buyer intends to acquire クラッド大分's 198-seat facilities, 167 operators, and know-how for operating existing projects outsourced to クラッド, while pursuing an AI-enabled BPO roll-up strategy. Post-merger integration through the introduction of AI and integration of management systems is expected to be a focus going forward.
