D&Mカンパニー, which provides management support for medical care, nursing care and welfare services, has resolved to issue new shares to 4 directors as restricted stock compensation. A total of 10,000 shares will be issued, with the payment date scheduled for 15 October 2026 and the share price set at ¥1,048 per share.
D&Mカンパニー resolved at a meeting of its board of directors held today to issue new shares to apply its restricted stock compensation plan to its directors. The new shares will be allotted as a contribution in kind, and the total issue value is expected to be ¥10,480,000.
The shares will be allotted to 4 internal directors, excluding outside directors. The payment date is scheduled for 15 October 2026, and the shares are expected to account for 0.43% of the total number of issued shares.
The shares to be issued will be subject to transfer restrictions. Under the share allotment agreement, transfers and other disposals will be prohibited from the payment date until the date on which the director retires. At the end of the restriction period, the shares will be acquired without consideration, and will be managed in a dedicated account.
The issue price has been set based on the market closing price of ¥1,048, which is considered a fair price free from arbitrariness. The issuance forms part of the introduction of a system subject to approval by the shareholders' meeting.
