FRUTA FRUTA INC. has signed a memorandum of understanding with Brazil’s CAMTA. The companies will promote the introduction of biochar production equipment and collaborate on overseas sales of açaí and other products, with the aim of creating environmental value and establishing a new earnings base.
FRUTA FRUTA INC. announced that it has signed a memorandum of understanding with Brazil’s Tomé-Açu Mixed Agricultural Cooperative (CAMTA) concerning the introduction of biochar production equipment and collaboration on overseas sales of açaí and other products. The collaboration aims to create environmental value while expanding the business, including by applying the biochar produced to agricultural land to improve soil quality and generate and sell CDR credits.
The main terms of the memorandum of understanding provide for FRUTA FRUTA INC. to purchase the equipment using internally generated funds and install it at a facility managed by CAMTA, with CAMTA responsible for on-site operations and production management. Revenue from biochar sales, together with revenue from CDR credit sales, will be used to recover the investment. Once the investment has been recovered, the policy is to distribute revenue from CDR credit and biochar sales equally between the two companies.
Under the overseas sales collaboration, FRUTA FRUTA INC. will act as CAMTA’s sales partner and lead marketing and market development in global markets. CAMTA will handle its existing customers, while new customers will be regarded as customers of FRUTA FRUTA INC. The quantitative targets are to handle 15,000 tonnes of açaí and achieve net sales of ¥10 billion over the next 5 years. The exclusive negotiation period is 6 months from the signing date.
CAMTA is a cooperative that produces and sells açaí and other products. The memorandum of understanding will take effect retroactively from 24 July 2026. The companies will proceed with discussions toward a definitive agreement. The impact on results is currently expected to be minor, and the policy is to make a timely disclosure if any material changes arise.
