A seminar will be held explaining the practice and role of special committees involved in going-private transactions by listed companies. Scheduled for 15 December 2026, the seminar will introduce the process for considering transactions based on the fundamental concepts in the Action Guidelines and its Q&A.
Amid increased activist intervention and unsolicited acquisitions in M&A involving listed companies, special committees composed mainly of outside directors are responsible for considering whether acquisitions are appropriate. Participants are expected to understand the practical aspects of special committee deliberations.
Based on the fundamental concepts in the Ministry of Economy, Trade and Industry's Action Guidelines for Corporate Takeovers and its Q&A, the seminar will explain the role of special committees and the process of forming opinions through the preparation of an advisory report. Main topics will include the increase in going-private transactions, the going-private process, key points of the Action Guidelines and Q&A, and confirmation of consistency with practice.
The speaker is an attorney with experience in this field who worked at Nagashima Ohno & Tsunematsu and is currently with LBX Law Office. The seminar will be held online, with an archived recording also scheduled to be made available. Capacity is 50 people on a first-come, first-served basis, and registration with MARR Online is required.
