The reasons the company gives
The company's own explanation, not something inferred from the numbers. In connection with the transition to a Company with an Audit and Supervisory Committee at the Annual General Meeting of Shareholders held on 27 May 2026, the existing independent officers retired upon the expiration of their terms, and the newly appointed officers were designated as independent officers. Oshita Daisuke (尾下大介) currently serves as an outside director of the ultimate parent company of a major shareholder and, under the Tokyo Stock Exchange's requirements for independent officers, falls within the category of an executive of a major shareholder or an equivalent category. He was therefore not designated as an independent officer.
