The reasons the company gives
The company's own explanation, not something inferred from the numbers.Regarding the company proposal, the company explains that it took into comprehensive consideration shareholder returns, its financial position, funds for investment and business performance in determining the year-end dividend. With respect to the director candidates, the company states that it determined that each candidate could contribute to enhancing corporate value by drawing on their experience and expertise. The purpose of the stock options is to increase motivation and morale toward enhancing corporate value over the long term and thereby increase corporate value. In opposing the shareholder proposal, the company states that fixing the number of representative directors in the Articles of Incorporation could reduce flexibility in management strategy and the organizational structure. It also states that the current structure with 1 representative director is reasonable for clarifying management responsibility, speeding up decision-making and establishing an efficient management structure.
