「At a meeting of the Board of Directors held today, we resolved to begin preparations for establishing a wholly owned subsidiary of the Company (the “preparatory company”) and carrying out a company split under which the PROEVER business will be transferred to that company (the “Company Split”). The spin-off will enable decision-making, organizational structures and systems to be designed to suit the business’s characteristics. We will create an environment that enables us to attract technical specialists who can lead advanced engineering and product development, while optimizing specialized functions such as research and development, operations and security.」
The Company resolved to begin preparing for a simplified absorption-type company split under which PROEVER株式会社 will be established as a wholly owned subsidiary and assume the PROEVER business. The objectives are to establish decision-making processes and systems suited to the subscription software business, attract technical specialists and optimize specialized functions.
