「In addition to information provided by the large-scale purchaser, we believe that the opinions of the Company’s board of directors based on its assessment and review, and, where appropriate, alternative proposals by the board, are important information for shareholders in making their decisions. After the purchaser has finished providing the required information to the board, the board should be given 60 days, in the case of a tender offer for all of the Company’s shares paid solely in cash in yen, or 90 days in other cases, to assess, review, negotiate, form an opinion, and formulate alternative proposals. This period is referred to as the “review period.”」
The procedures specify delivery of a required-information list within 10 business days after receipt of a statement of intent and a 60- or 90-day review period after the information is complete.
