An investment structure in which SoftBank Vision Fund 2 (SVF2) shares investment gains and loss risk through a joint investment with a company controlled by Son Masayoshi (孫正義) and through preferred equity with restricted dividend entitlements. Also includes the transfer of the jointly invested portion, amounts payable to or receivable from MgmtCo, and safeguards such as guarantees and collateral.
