A standalone business restructuring transaction in which the Japanese heavy-gauge winding wire and polyimide tubing businesses were transferred through an absorption-type company split, together with shares in Malaysian and European subsidiaries, to a joint venture with Superior Essex. Following the transfer, the businesses were consolidated within the joint venture and removed from the scope of consolidation.
