The transferee operates a warehousing business and supports cross-border e-commerce, and the transaction will be carried out as part of the restructuring of Athena Shanghai's business portfolio.
In connection with the transfer, approximately ¥61.4 million in loans to Athena Shanghai are scheduled to be converted into capital through a debt-to-equity swap before the transfer. Athena Shanghai's results for the fiscal year ended December 2025 were reported as revenue of approximately ¥170 million, an operating loss of approximately ¥18.5 million and negative net assets of ¥6.59 million.
