On 29 October, Circlace announced that it had decided to exercise the rights attached to the convertible bonds with stock acquisition rights it holds in arcbricks, acquire the shares and make arcbricks a subsidiary. The rights exercise is expected to be completed as of 30 October 2026, and arcbricks is expected to become a consolidated subsidiary as of the same date. The move is intended to strengthen collaboration in the Databricks field.
The number of shares to be acquired is 1,000, for a consideration equivalent to ¥50 million for arcbricks’ shares. Circlace owned 0 shares before the change, and its voting rights ownership ratio will be 89.20% after the change. Both the rights exercise request date and the share acquisition date are scheduled for 30 October 2026.
arcbricks recorded an operating loss in its most recent fiscal year and is in a state of excess liabilities. Circlace has determined that making arcbricks a subsidiary will not have a material adverse effect on its medium- to long-term financial soundness, and expects the impact on current-year earnings to be minor. The company aims to create business synergies through collaboration using Databricks.
