LIFE CORPORATION will acquire ALBIS and seek to make it a consolidated subsidiary and delist it through a tender offer. The offer covers 6,966,769 shares at ¥3,780 per share, for a maximum value of more than ¥26.3 billion.
LIFE CORPORATION announced on 8 September that it would acquire ALBIS. The tender offer will begin on 9 September, with 6,966,769 shares scheduled to be purchased at ¥3,780 per share, for a maximum acquisition value of ¥26,334,386,820. Following the tender offer, ALBIS is expected to become a consolidated subsidiary of LIFE and be delisted.
LIFE's main markets are the Tokyo metropolitan area and the Kinki region. It operated 322 stores as of the end of July 2026 and recorded operating revenue of approximately ¥881.3 billion. ALBIS operates 68 stores in Toyama, Ishikawa, Fukui, Gifu and Aichi prefectures, and recorded operating revenue of approximately ¥100.9 billion in the fiscal year ending March 2026.
Against a backdrop of intensifying competition in the retail industry, the acquisition is aimed at expanding the store network and driving growth across business sectors. The two companies will share store development capabilities and expertise. They also plan to create synergies through the reciprocal use of private-label products, joint procurement, sales promotion and marketing, and to provide ALBIS with LIFE's expertise in online grocery retailing.
Going forward, growth through expansion of the store network, including via M&A, and expansion of the online grocery business will serve as the stated pillars of the strategy. The two companies are expected to strengthen their cooperation as industry consolidation gathers pace.
