Takara Holdings is considering convening an extraordinary shareholders meeting and has set 11 November as the record date. ValueAct Capital has requested that the meeting be convened and is seeking the removal and appointment of outside directors.
Takara Holdings announced that it had set 11 November as the record date for convening an extraordinary shareholders meeting. It is considering whether to convene the meeting and when to hold it in response to a request from ValueAct Capital to convene the meeting.
ValueAct holds approximately 20% of Takara Holdings shares and is seeking the removal of 3 outside directors and the appointment of 3 new outside directors. The move is intended to strengthen oversight of management.
Takara Holdings said that it would promptly announce the date, venue and details of the proposals to be submitted if it decides to convene the meeting.
ValueAct, which has raised concerns about the company's underperformance and the board's oversight of management, is said to have been calling for a review of business strategy and changes to the board's composition since around summer 2026.
