リーガルテック株式会社 has launched the “Confidential Information External Sharing Management Workflow,” which standardizes the management of sharing confidential information externally by legal departments. It supports the entire process, from disclosing information after an NDA is signed, through managing permissions and activity during the sharing period, to disabling access when a contract ends and exporting and retaining logs. Applications for trials by legal departments are being accepted alongside the launch.
The workflow organizes the functions of リーガルテックVDR, including access controls, download restrictions, digital watermarking and activity logs, around the practical needs of legal departments. Its key feature is the ability to automatically manage operations after an NDA is signed. Users can proceed step by step, from organizing the sharing destination, purpose, relevant contract or project and sharing period, through setting permissions for viewing and downloading and exporting activity logs.
The materials explain the difference between cloud platforms designed for collaborative work and VDRs designed for the limited disclosure of confidential information, and outline operating procedures for managing the period before, during and after information sharing in 6 stages. The design is presented as strengthening permission management and audit functionality through a process covering NDA execution and confirmation of the sharing purpose, setting authorized viewers, configuring permissions, reviewing activity, disabling access at the end of sharing, and exporting and retaining logs.
Potential use cases for the workflow include sharing contracts and customer information with outsourced service providers, disclosing technical information to business partners and joint research partners, sharing materials with external professionals such as lawyers and accountants, and the phased disclosure of information to prospective M&A counterparties. Guidance on applying for a trial is also provided, allowing users to experience functions such as creating rooms, configuring permissions and reviewing logs in a live system environment.
