The Ministry of Economy, Trade and Industry has reorganised the key points and Q&A published in July to make the purpose of its guidelines for corporate takeovers easier to understand. Through discussions by the study group and interviews with 22 parties, it identified 3 misconceptions about M&A and clarified its explanations of them.
As background, the Ministry of Economy, Trade and Industry published guidelines in 2023 setting out general principles for M&A and sought to promote takeovers in Japan. The number and value of transactions are said to have increased as a result.
During the interviews, the ministry collected opinions from 22 parties, including target companies, acquirers, investors, financial advisers and legal advisers, and identified areas where misconceptions had arisen. The 3 major misconceptions identified were that: 1) a high-priced takeover offer must be supported; 2) qualitative value cannot be included in corporate value; and 3) a stand-alone option cannot be chosen once a takeover offer has been received.
Hideki Kanda, professor emeritus at the University of Tokyo, identified these 3 points as “major misconceptions.” Based on this, the Ministry of Economy, Trade and Industry developed a Q&A to clarify the purpose of the guidelines and indicated that it would deepen understanding while maintaining the guidelines.
