Kioxia Holdings' largest shareholder changed to a Bain Capital-managed SPC, while Toshiba's ownership interest declined following its sale of shares. The SPC holds approximately 77.4 million shares, representing a 14.19% ownership interest.
Kioxia Holdings announced that its largest shareholder changed from Toshiba to BCPE Pangea Cayman2, a special purpose company managed by Bain Capital. As a result, the entity holding the company's shares changed, shifting the largest shareholder position toward a Bain-affiliated entity. The SPC disclosed holdings of 77.4 million shares, representing a 14.19% ownership interest.
On the same day, Toshiba filed a change report with the Kanto Local Finance Bureau stating that its ownership interest in Kioxia Holdings had fallen to 14.06%. The previous figure was 15.10%. The change included on-market sales, which were carried out in a total of 7 transactions between 15 July and 3 August.
The move means that the composition of Kioxia Holdings' largest shareholder changed significantly as a result of Toshiba's share sales. With the Bain-managed SPC becoming the largest shareholder, an impact on the company's future management and capital relationships is expected.
