Sony Group and TSMC have announced a ¥747 billion capital contribution plan in connection with the formation of their joint venture. The contributions will be made in stages, with mass production targeted to begin in 2029. The plan also includes the transfer of assets from a new plant in Kumamoto.
Sony Group plans to contribute approximately ¥465 billion in cash and assets from its new Kumamoto plant, while TSMC plans to contribute approximately ¥282 billion in cash, bringing the two companies’ total contributions to ¥747 billion. However, the entire amount will not be paid in cash during the current fiscal year, and the companies have indicated that contributions will be made in stages based on demand trends and the business environment.
The new company plans to begin mass production in 2029 while leveraging existing investment in Kumamoto. The formation of the joint venture includes the transfer of the Kumamoto plant to the new company, and the future production setup and cost structure have not yet been finalized. Additional terms, including the amount of government support, remain unconfirmed.
The announcement was based on a basic agreement reached in May 2026, with the definitive agreement reportedly finalized in August. The contribution terms, division of roles and impact on consolidated results through the execution of the definitive agreement have been disclosed as matters to be determined in stages.
