Nihon M&A Center Holdings, listed on the Tokyo Stock Exchange Prime Market, announced that it will acquire AIブレインパートナーズ, an AI transformation company established just one year ago, in a two-stage transaction involving cash and a share exchange worth approximately ¥500 million. The acquisition will begin with the purchase of 67% for cash, followed by the acquisition of the remaining 33% through a share exchange involving the company’s shares and 250,000 treasury shares.
Nihon M&A Center Holdings has announced plans to make AIブレインパートナーズ, which provides AI implementation support, a wholly owned subsidiary. The acquisition will be carried out in 2 stages, with the initial cash acquisition scheduled for 1 October 2026 and the share exchange to make AIブレインパートナーズ a wholly owned subsidiary scheduled for 2 November.
AIブレインパートナーズ was established on 19 September 2025 and provides services that support the in-house implementation and independent operation of AI. Its 4 business areas are AI, BPO and product development support; company-wide AI transformation support; AI advisory services and support for management teams; and AI training. The company supports clients from operational design through AI agent implementation and the quantification of results.
For the fiscal year ended August 2026, AIブレインパートナーズ reported revenue of ¥124 million, operating profit of ¥40 million, net income of ¥26 million and an operating margin of approximately 32.3%. The total consideration, including the share exchange, is estimated at approximately ¥500 million, comprising approximately ¥340 million in cash and approximately ¥164 million through the share exchange.
The aim of the transaction is not simply to introduce AI as a tool, but to redesign business processes around AI and establish those changes within the organization. Synergies are expected through improved productivity at Nihon M&A Center Holdings and expanded customer engagement.
