リグア announced that it had entered into a capital and business alliance agreement with Street Smart and, on the same date, issued new shares and allocated stock acquisition rights through a third-party allotment. The payment date for the new shares is 14 September. The number of shares to be issued is 50,000, at an issue price of ¥866 per share. A total of 3,300 stock acquisition rights will be allocated, with an initial exercise price of ¥866 and a lower exercise price limit of ¥547, representing 330,000 potential shares.
Estimated net proceeds from these transactions will be ¥321.351 million, which is expected to be allocated to additional AI training initiatives and the procurement and processing costs of IFMC-related OEM products. Maximum dilution is expected to be 23.58% of the total number of shares issued.
Through the capital and business alliance, the companies will expand AI and DX reskilling training as a precursor to AI consulting and establish a structure for providing it in combination with a SaaS platform for managing participants’ objectives. The training will be offered in both group and individual formats. Initially, it will focus on business relationships with osteopathic clinics, with coverage subsequently expanded to general companies through web advertising.
