Seino Holdings has agreed to transfer all 3,710 shares of its equity-method affiliate Hankyu Hanshin Express to Hankyu Hanshin Holdings and is expected to recognize an extraordinary gain of approximately ¥12 billion in the fourth quarter of the fiscal year ending March 2027.
Through a board resolution dated 30 October, Seino Holdings decided to transfer all 3,710 HEX shares to HHHD. The transfer price is ¥25.479 billion, and completion is scheduled for the fourth quarter of the fiscal year ending March 2027.
HEX will cease to be an equity-method affiliate of Seino Holdings, while the capital and business alliance between the Seino Group and HEX will be dissolved. However, business relationships, including the provision and use of logistics services, are expected to continue.
Seino Holdings had acquired its stake in HEX over time and decided to transfer all shares after receiving an offer to purchase them from HHHD. In connection with the share transfer, Seino Holdings expects to recognize an extraordinary gain of approximately ¥12 billion in the consolidated fiscal year ending March 2027, which may require a revision to its earnings forecasts.
