The Nippon Paper Industries Group announced that it will consolidate its 3 logistics subsidiaries to establish 日本製紙グループロジ, which will commence operations on 1 July 2027. Following the integration, the company aims to improve capital efficiency and profitability by leveraging a nationwide logistics network.
The Nippon Paper Industries Group has decided to consolidate its 3 paper logistics companies, 日本製紙物流株式会社, 南光運輸株式会社 and 旭新運輸株式会社, and launch 日本製紙グループロジ株式会社 as a wholly owned subsidiary. The newly established 日本製紙グループロジ is scheduled to formally commence operations on 1 July 2027, as part of a structural reform to reorganize the logistics framework across the Group.
The integration is intended to maintain and strengthen a stable transportation system and improve the efficiency of management resources amid market conditions that include shrinking demand for paper and a shortage of logistics personnel. The company plans to improve operational efficiency by bringing together its existing bases and expertise, which cover areas from Hokkaido in the north through Tohoku and west of Kansai, and by reassessing the allocation of its organization, functions and logistics assets.
The new company will leverage a nationwide logistics network and seek to improve transportation and operational efficiency and profitability based on its expertise in the paper business. Going forward, it aims to build a competitive logistics system, including through business alliances with other companies, and expand earnings by capturing demand from outside the Group.
Under the planned schedule, the boards of directors of the respective companies will resolve the merger agreement in October 2026, an extraordinary resolution will be sought at a shareholders' meeting in mid-June 2027, and the merger will take effect and the corporate name will be changed on 1 July 2027. As the integration is an organizational restructuring between wholly owned subsidiaries, its impact on the Group's consolidated results is expected to be minor.
