World and TSI Holdings have agreed to integrate their businesses and will establish the joint holding company Infinity UNITED. The share transfer ratio is World 1 to TSIHD 0.8, with delisting and a new listing planned.
The two companies said they had intensified integration negotiations from around June 2026 and would proceed with the integration against a shared recognition of issues including excess supply in Japan’s fashion market, overlapping costs and delays in responding to changes in customers. The announcement described the decision as one that would unlock the strength of Japan’s fashion market.
The new joint holding company will be named Infinity UNITED Inc., with the slogan “SHAPE A BETTER WORLD.” The share transfer ratio for the holding company is World 1: TSIHD 0.8, and members of the current management teams are expected to take office.
The two companies are scheduled to be delisted on 25 February 2027, while Infinity UNITED is scheduled to be newly listed on the TSE Prime Market on 1 March of the same year. Following the organisational restructuring, TSI, World Brands and World Solutions are expected to be established as 3 intermediate holding companies. There is also information that World Brands is considering changing its corporate name to World.
