Fuji Media Holdings, Inc. is pursuing governance reform as part of efforts to become a “content company with media assets.” The company is strengthening its organisational value-creation story by enhancing the independence of outside directors and substantially increasing the proportion of female directors. More than a year after the reforms began, discussions at the Board of Directors have become more active.
As chair of the Nomination and Compensation Committee, Moriyama Susumu (森山進) expressed his views on building governance and pointed out that management evaluations and the development of future leaders are essential to improving the effectiveness of the Board of Directors. He said the Corporate Governance Code calls for “substance over form” and expressed the view that it is important for everyone to develop a value-creation story together.
The Group Vision sets targets of 8% ROE and ¥150 billion in growth investment, and optimisation of capital allocation for growth is required alongside a recovery in advertising revenue. The company plans to realise its strategy through collaboration between executive functions and external perspectives, with the Board of Directors incorporating viewpoints from the front line.
Sustainability Management Committee, Risk Policy Committee and Group Risk and Compliance Committee have been newly established or strengthened to promote respect for human rights and compliance. The company is also developing contact points and consultation systems for front-line production departments, enhancing the effectiveness of the reforms.
