ヨシムラ・フード・ホールディングス has announced plans to acquire 100% of 日本罐詰. Meiji will eliminate the target’s negative net worth before the sale, which is scheduled to close on 1 November 2026.
Listed on the TSE Prime Market, ヨシムラ・フード・ホールディングス will acquire 100% of 日本罐詰株式会社, which uses raw materials produced in Hokkaido’s Tokachi region, making it a subsidiary. The share transfer is scheduled to close on 1 November 2026.
The seller is Meiji. As a feature of the transaction, Meiji will conduct a third-party allotment capital increase before the sale to eliminate 日本罐詰’s negative net worth. Following the elimination of the negative net worth, ヨシムラ・フードHD will acquire 100% of the shares.
For the fiscal year ended March 2026, 日本罐詰 reported net sales of ¥3.041 billion, operating profit of ¥209 million and net income of ¥132 million. Net assets were negative ¥3.237 billion, while total assets were ¥3.481 billion. The company is currently profitable, but remained in a state of negative net worth.
The company’s financial structure reflects substantial negative net worth resulting from past disasters and losses. It is currently profitable, and no goodwill is expected to arise from the transaction. The acquisition price has not been disclosed, so acquisition-price multiples and related figures are unknown.
With Hokkaido as a priority region, ヨシムラ・フードHD aims to strengthen its supply chain, including agricultural processing and OEM operations. The transaction may contribute to the expansion of the company’s Hokkaido strategy and business platform.
