The Kokuyo Group of Japan has completed the acquisition of all shares in Thien Long An Tin Investment JSC (TLAT), giving it indirect ownership of 46.82% of TLAT's issued share capital. Following approval from the relevant authorities, TLAT's shareholders plan to transfer all shares they hold to Kokuyo, making Kokuyo TLAT's sole owner.
The transaction is positioned as an important step in Kokuyo's investment plan for Thien Long announced in 2025. The original plan called for the acquisition of an additional 18.19% stake in TLG through a tender offer. If both transactions are completed, Kokuyo's stake in Thien Long is expected to reach 65.01%, making Thien Long a subsidiary of Kokuyo.
Information announced on 6 November confirmed that the share transfer at TLAT had been completed, and Kokuyo plans to conduct a tender offer for the remaining shares in accordance with applicable regulations. The total transaction value is estimated at approximately ¥27.6 billion, equivalent to approximately VND4.7 trillion at the time of the announcement.
Five directors, including Co Gia Tho, chairman of Thien Long's board, Co Cam Nguyet, Nguyen Dinh Tam, Co Tran Co Nguyen and Co Tran Dinh Dinh, submitted their resignations. The resignations are scheduled to take effect on 1 January 2027, with an election to fill the remaining positions scheduled for around the same time.
Under a consulting agreement, Co Gia Tho is scheduled to serve as honorary chairman of Thien Long for 3 years. He will not be involved in management and will not have voting rights on the board.
