日本創発グループ announced that it will make 脇田コウキ製本 a 97%-owned subsidiary. Although the acquisition price is ¥292 million, approximately 96% of the amount will be injected into the target company through a private placement, placing the emphasis on a substantial capital injection.
On 17 August 2026, 日本創発グループ, which is listed on the Tokyo Stock Exchange Standard Market, announced that it would make 脇田コウキ製本, based in Nagoya, a subsidiary. The total acquisition price is ¥292 million, comprising approximately ¥10 million for the transfer of existing shares and a ¥282 million private placement, with the capital injection accounting for most of the amount.
Following the acquisition, the shareholding ratio will be 97%. The current manager of 脇田コウキ製本, Wakita Mineki (脇田峰輝), will continue to hold 300 shares, representing a 3% stake. The plan is not for the seller to transfer all of its shares, but to inject capital into the company as part of its turnaround.
脇田コウキ製本 has reported operating losses for the past 3 consecutive fiscal periods. For the fiscal year ended July 2025, sales were approximately ¥208 million, operating loss was approximately ¥19 million, and net assets were approximately ¥55 million. The capital injection is expected to significantly improve the company's equity ratio.
日本創発グループ said it intends to strengthen coordination across the group's bookbinding operations and reinforce bookbinding infrastructure in the Chukyo region through the capital increase. It explained that the aim is to revive the business by generating synergies through collaboration with existing investee companies, including 飯島製本.
