FCE resolved to enter into a capital and business alliance agreement and a business alliance agreement with アディッシュ. アディッシュ operates a customer success business, including services for private schools, as well as services to prevent online trouble, and has implemented its services at approximately 350 schools. The two companies will mutually leverage their customer bases and expertise to address challenges facing educational institutions and drive business growth.
Under the business alliance, the companies will consider developing new product packages tailored to the needs of overlapping customers. They will also seek to expand sales channels through mutual referrals and proposals to non-overlapping customers, while leveraging アディッシュ's track record and network in dealings with local governments to create opportunities to propose FCE products through local governments. In the training services area, FCE's performance improvement consulting product, xDrive, will be introduced to アディッシュ, while FCE will receive customer success consulting from アディッシュ.
The companies also aim to improve the churn rate of Smart Boarding and strengthen cross-selling and upselling.
Under the capital alliance, FCE will acquire 98,000 common shares of アディッシュ, representing 4.5% of the total number of shares issued, through an off-market negotiated transaction. The total acquisition price is ¥52 million, and the share acquisition date is scheduled for 6 October 2026.
