Kirin Holdings announced an agreement to acquire Jamieson Wellness. The purchase price for the common shares is C$1.898 billion, or approximately ¥218.3 billion. The acquisition is expected to be funded with cash and interest-bearing debt, and is scheduled to be completed in or after October 2026.
The news reports that Kirin has announced an agreement to make Jamieson Wellness, a North American supplements company, a wholly owned subsidiary. The target company’s revenue and earnings are presented as pre-acquisition results, while the impact on consolidated results after the acquisition is expected to become clear through future disclosures.
According to the official announcement, Kirin plans to pay the C$1.898 billion purchase price for the common shares using a combination of cash and interest-bearing debt. Jamieson Wellness has indicated a diluted equity value of approximately C$2.0 billion and an enterprise value of approximately C$2.5 billion. Care is needed because these figures have different meanings.
As of the signing of the agreement, the finalized amounts for goodwill, identifiable intangible assets, borrowing terms, integration costs and synergies had not been disclosed, and the acquisition date is not the end of the matter. The completion date is expected to be finalized once the contractual conditions have been satisfied and the approval procedures completed. The number of shares acquired, consideration and exchange rate at completion will also be disclosed at a later date.
Jamieson Wellness’s results for 2025 are presented in a separate disclosure, and the timing and amount of its contribution to consolidated earnings after the acquisition remain subject to future disclosure. In light of the differences between Japanese GAAP and IFRS, the treatment of goodwill amortization and impairment does not directly translate into earnings recognition at the acquisition date.
The success of the acquisition is said to depend not on whether the company was acquired, but on whether the post-integration business can generate cash over the long term that exceeds the price paid. The importance of chronological updates based on primary-source information is therefore emphasized.
