「The progress and success or failure of these initiatives may be affected by a range of factors, including advances in AI technology, changes in the competitive environment, the enactment or strengthening of laws and regulations, and the status of obtaining necessary approvals from regulatory authorities. With respect to the additional investment in OpenAI Global, LLC, which is an investment of up to $30 billion in the second closing scheduled for December 2025, these factors include the completion of the abolition of its economic distribution structure and the issuance of preferred shares in the new company, and the initiatives may not proceed as anticipated by the Company.」
For the additional investment of up to $40 billion in OpenAI, Stargate, Crystal Intelligence and other initiatives, the risks affecting progress and success or failure were newly identified as including not only AI technology, competition, regulation and approvals, but also the abolition of OpenAI’s economic distribution structure and completion of the issuance of shares in the new company.
