Company Split of the Care Services Business and Other Operations and Transfer of All Shares in 廣辯株式会社

「At a meeting of the Board of Directors held on 12 February 2021, the Company resolved to establish its wholly owned subsidiary 廣辯株式会社 on 15 February 2021 and to enter into absorption-type company split agreements, with 1 April 2021 as the effective date, to transfer to 廣辯 the care-services business operated by the Company's wholly owned subsidiary 株式会社テーオー総合サービス (the business includes the operation and management of housing for seniors with support services and various services under the Long-Term Care Insurance Act) and part of the real-estate leasing business operated by the Company (the leasing of real estate used for TOSS's care-services business). The split by TOSS was designated as “Company Split ①” and the split by the Company as “Company Split ②,” collectively referred to as the “Company Split.” Subject to the effectiveness of the Company Split, the Company also resolved to transfer all shares in 廣辯 to アサヒ調剤薬局株式会社 on 1 April 2021. The absorption-type company split and the transfer of all shares in 廣辯 were completed on 1 April 2021.」
