The reasons the company gives
The company's own explanation, not something inferred from the numbers. The Company explains that its proposal concerning the appropriation of surplus is based on its policy of returning profits to shareholders, with a total payout ratio of approximately 30% as a guideline. With regard to the Director candidates, the Company expects each candidate to contribute to sustainable growth, the enhancement of corporate value and management oversight, based on the candidate's experience, knowledge and qualifications. The Company opposes the shareholder proposal on the grounds that specifying detailed management policies and matters concerning the execution of business in the Articles of Incorporation could impede agile business execution and potentially undermine corporate value.
