Notice of Convocation of the 17th Annual General Meeting of Shareholders
Pages 52 to 53 of the Notice of Convocation of the 17th Annual General Meeting of Shareholders, Proposal 4: “Confirmation of Shareholders’ Intentions Regarding a Large-Scale Third-Party Allotment”
This proposal would be implemented as confirmation of shareholders’ intentions as provided for in Article 432 of the Tokyo Stock Exchange’s Securities Listing Regulations, and if approved, the Company’s Board of Directors would be able to carry out this financing within the scope described above.
This proposal will be submitted as a non-legally binding advisory resolution to ascertain shareholders’ views on the policy for financing through a large-scale third-party allotment that may be carried out in the future. Approval of the proposal alone will not authorize the implementation of a third-party allotment, the issuance of new shares or stock acquisition rights, or other such instruments, or grant a blanket delegation of authority to the Board of Directors.
This correction clarifies the legal status of the proposal and the effect of the resolution, and approval of the proposal will not constitute approval of the implementation of a specific third-party allotment. There will be no change to the date, time or venue of the 17th Annual General Meeting of Shareholders.
It was confirmed that, because the proposal involved obtaining comprehensive confirmation of shareholders’ intentions at a stage when the specific number of shares to be issued, issue price, proposed allottee and other issuance terms had not been determined, its validity as a procedure for confirming shareholders’ intentions under Article 432 of the Securities Listing Regulations could not be recognized.
