The reasons the company gives
The company's own explanation, not something inferred from the numbers.Nippon Yusen Kabushiki Kaisha explains that combining the two companies' fleets, customer bases, technologies and human resources will enable them to realize synergies, including improved vessel deployment efficiency, lower procurement costs, capture of demand for decarbonization-related transportation, a stronger logistics platform connecting coastal and oceangoing shipping, and optimal allocation of human resources. It also states that, while the company remains listed, it would be difficult to obtain the understanding of general shareholders for medium- to long-term measures that could temporarily worsen operating performance or financial conditions. It therefore determined that making the company a consolidated subsidiary and taking it private would be desirable.
