The reasons the company gives
The company's own explanation, not something inferred from the numbers. If the tender offer is successful but the tender offeror is unable to acquire all of the Company's shares, it may become necessary to hold an extraordinary general meeting of shareholders with a share consolidation and amendments to the Articles of Incorporation as agenda items. If the tender offer is unsuccessful, or if the tender offeror is able to acquire all of the Company's shares, the Company plans not to hold an extraordinary general meeting and not to use the record date.
