The reasons the company gives
The company's own explanation, not something inferred from the numbers.ISS recommended votes against the candidates because they failed to meet its quantitative criteria for strategic shareholdings and because of the candidates' former employers and the Bank's shareholdings. The Bank explained that it has no deemed shareholdings, that strategic shareholdings account for 17.0%, and that more than 28 years have passed since Sanada Yukimitsu (真田 幸光) left the Bank, with no involvement in management since then. Accordingly, it stated that there were no grounds for the recommendations against the candidates.
