The reasons the company gives
The company's own explanation, not something inferred from the numbers. The amendments to the Articles of Incorporation are intended to enable the president to be appointed from among the most suitable executive officers, rather than limiting the position to directors, thereby establishing a more agile and flexible business execution structure. The revisions to the share-based compensation plan are intended to increase the proportion of share-based compensation in pursuit of the medium-term management plan “PI2028,” thereby supporting medium- to long-term improvements in business performance and growth in corporate value. The director candidates are expected to contribute to improving the performance and corporate value of the Company Group, based on their experience, knowledge and other qualifications.
