「At a meeting of the Board of Directors held on 30 June 2025, the Company resolved to acquire all shares of トルクシステム㈱ and entered into a share transfer agreement on the same date. Pursuant to the agreement, the Company acquired all shares of トルクシステム㈱ on 31 July 2025 and completed its acquisition as a consolidated subsidiary. Since its establishment in 2002 as a specialist trading company focused on large-bolt tightening tools, トルクシステム㈱ has operated businesses including the sale and rental of tools and equipment specialising in bolt-tightening work, as well as engineering services, for oil refining plants, chemical plants and other fields. Against this background, the Company decided to proceed with the transaction after determining that bringing トルクシステム㈱ into the Group would enable it to combine the company's engineering capabilities with the Company's seal solutions, thereby further strengthening its ability to create value for customers.」
The Company acquired all shares on 31 July 2025, at an acquisition cost of ¥2.3 billion, and completed the acquisition as a consolidated subsidiary with a 100.0% voting interest. Goodwill of ¥1.749 billion was recognised and is being amortised on a straight-line basis over 10 years. Under NF2026, the initiative combines the sale and rental of bolt-tightening tools and engineering capabilities with seal solutions to address labour shortages in the seal maintenance field and strengthen the ability to create value for customers.
