「At a Board of Directors meeting held on 27 March 2024, we resolved to introduce a restricted stock compensation plan as a new compensation plan for eligible directors, excluding outside directors, to provide incentives for the sustained improvement of enterprise value and promote greater sharing of value between directors and shareholders. At the 30th annual general meeting of shareholders held on 27 March 2024, approval was obtained to provide eligible directors with monetary compensation claims of up to ¥25.000 million per year, separate from annual compensation of ¥300.000 million, as property contributed for the acquisition of restricted stock, with the restriction period running from the date of allocation until the eligible director leaves office as a director.」
The restricted stock compensation plan was introduced to align directors’ interests with shareholders and promote sustained growth in enterprise value. Monetary compensation claims of up to ¥25.000 million per year were established, and the issue and payment of 13,604 common shares were completed on 26 April 2024.
