The reasons the company gives
The company's own explanation, not something inferred from the numbers. The appropriation of surplus is intended to enhance dividends to shareholders, secure retained earnings necessary for future business development and strengthening the company's financial position, and continue stable dividend payments. The amendments to the Articles of Incorporation are intended to facilitate flexible capital policies and enable the acquisition of treasury shares by resolution of the Board of Directors. The election of the director nominees is being proposed because the terms of office of all directors will expire. The election of an alternate Audit & Supervisory Board Member is intended to prepare for any situation in which the number of Audit & Supervisory Board Members required by law is not maintained.
