  1. FY2024AdvancedAnnual report

「Following the share consolidation on 2 February 2024, TAKISAWA became our wholly owned subsidiary.」

After acquiring 86.14% of TAKISAWA, the company completed its conversion into a wholly owned subsidiary through the share consolidation on 2 February 2024 and moved to the stage of realizing synergies through product complementarity, expanded sales channels, cross-selling and joint procurement.
  2. FY2024-Q3First statedAnnual report

「On 20 November 2023, NIDEC acquired 86.14% of the common shares of TAKISAWA for ¥14,306 million through a tender offer under the Financial Instruments and Exchange Act (Act No. 25 of 1948, including subsequent amendments). TAKISAWA manufactures and sells machine tools, including CNC lathes, machining centers and conventional lathes. We are convinced that the transaction has a high likelihood of generating various synergies between NIDEC and TAKISAWA, including revenue synergies, such as combining and mutually utilizing the two companies' complementary products to expand sales channels and cross-selling, and cost synergies, such as joint procurement of common parts, reducing costs through larger purchasing lots, and promoting overseas procurement and production, thereby maximizing the corporate value of both companies.」

NIDEC acquired 86.14% of TAKISAWA's common shares through a tender offer and disclosed for the first time measures to pursue product complementarity in machine tools, mutual use of customers and sales channels, cross-selling, joint procurement, and cost synergies through overseas procurement and production. On 2 February 2024, after the filing date, TAKISAWA became a wholly owned subsidiary.
