Under Article 24 of the current Articles of Incorporation, the Company may appoint 1 chairperson of the Board of Directors and 1 president-director, as well as several vice presidents, senior managing directors and managing directors. Under the proposed amendments, the provision will state that directors with executive titles may be appointed. Article 25 will be amended from providing that the chairperson of the Board of Directors convenes board meetings and serves as chair to providing that a director designated in advance by resolution of the Board of Directors convenes board meetings and serves as chair.
