The reasons the company gives

The company's own explanation, not something inferred from the numbers.

ISS recommended voting against Komiyama Sakae (小宮山榮) on the grounds that he belonged, until March 2014, to a predecessor entity of EY ShinNihon LLC, the Company's accounting auditor, and that this conflicted with its independence criteria. The Company explained that there were no issues regarding his independence or eligibility because he had not worked on the Company's audit, more than 12 years had passed since he left the firm, he had no relationship with its current executive members or business relationship with the firm since leaving, and he met the Company's internal standards and the Tokyo Stock Exchange's requirements for independent officers.
