「With respect to transactions subject to the Subcontracting Act, the Japan Fair Trade Commission issued a recommendation and guidance on 25 October 2024 (the "Recommendation, etc."). The Recommendation, etc. concerned certain transactions involving information-based deliverables, primarily commissions for creating Live2D and 3D models, during the period from April 2022 to February 2024. The transactions were determined to have violated Article 4, paragraph 1, item 2, concerning delays in payment of subcontracting fees, and Article 4, paragraph 2, item 4, concerning the prohibition of unjust changes to the terms of a service and unjust reworking. The Company has already paid the relevant business partners amounts equivalent to damages for late payment. It has also established and implemented appropriate preventive and corrective measures, including recruiting employees, reviewing transaction processes, raising awareness through training, and overhauling its internal structure.」
