「As announced on 24 March 2026, the Company’s Board of Directors resolved at its meeting held on the same date to issue ordinary shares through a third-party allotment for total proceeds of approximately ¥165 billion, with Lumina Japan Acquisition Co., Ltd., a special-purpose company held by an investment fund advised by an affiliate of Apollo Global Management, Inc. or one of its subsidiaries, the proposed allottee (the “Proposed Allottee”), and to submit to the Company’s annual general meeting of shareholders scheduled for late June 2026 (the “Annual General Meeting”) proposals for a partial amendment to the Articles of Incorporation to increase the total number of authorized shares, a share consolidation to make the Proposed Allottee the Company’s sole shareholder, and other related proposals.」
In light of its high level of borrowings, liquidity constraints and the downturn in the European economy, the Company announced an integrated recapitalization comprising a ¥165 billion third-party allotment underwritten by the Apollo Funds, a ¥140 billion quasi-debt-equity swap by major financial institutions, refinancing of its borrowings and going private through a share consolidation. The third-party allotment comprises 366,666,666 ordinary shares at ¥450 per share, and the Proposed Allottee is expected to acquire 72.07% of the voting rights. Completion is subject to shareholder approval, regulatory approvals in the relevant countries and other conditions.
