The reasons the company gives

The company's own explanation, not something inferred from the numbers.

ISS recommended voting against the proposal on the grounds that Toyoda Akiko (豊田明子) had worked for Mizuho Financial Group, the holding company of one of the Company's major lenders, and therefore did not meet ISS's independence criteria. The Company explained that more than 25 years had passed since she left the lending business and approximately 10 years since she left the Mizuho Group, that she had not been involved in borrowings by or transactions of the Company's group, and that she currently had no relationship with the Mizuho Group, among other reasons. Accordingly, the Company stated that there were no concerns regarding her independence.
