The reasons the company gives
The company's own explanation, not something inferred from the numbers. The appropriation of surplus is based on the policy of maintaining and continuing stable dividends and increasing dividend levels in line with consolidated performance. The election of directors was deemed necessary to enhance corporate value and strengthen oversight by drawing on the experience, expertise and insight of each nominee. The election of an alternate Audit and Supervisory Committee member is intended to prepare for any statutory shortfall in the required number of members.
